Notice Periods in Belgium: Employees vs Freelancers
Belgian employees have statutory notice rules; genuine freelance consultants normally rely on their service agreement. In a consultancy chain, the institution’s notice to the prime contractor does not automatically determine what the prime owes the consultant.

An institution gives its staffing supplier 30 calendar days’ notice, but the supplier’s consultant agreement requires 60. Unless another contractual right applies, the supplier has a potential 30-day gap to manage. The institution’s decision does not, by itself, shorten the consultant’s notice.

Getting a notice period right in Belgium starts with identifying the legal relationship — not choosing a number of weeks. First distinguish employment from independent services. Then, for a freelance assignment, read the termination provisions across the whole contract chain. This avoids the two costly assumptions: applying employee rules to a freelancer and treating an end client’s cancellation as automatic termination of every downstream agreement.

Identify the relationship before calculating notice

A Belgian employment relationship involves work performed under an employer’s authority in return for remuneration. A genuine freelance arrangement is a civil or commercial business-to-business relationship. The actual working relationship determines the classification; the words “consultant,” “freelancer” or “service agreement” do not settle it.

This distinction matters before termination. Direct managerial control, fixed working hours, organisational integration, exclusivity and personal performance requirements can raise reclassification concerns. If the working arrangement points towards employment, obtain Belgian employment-law advice before relying on a freelance termination clause.

Issue Employee contract Freelance service agreement
Basis of notice Belgian employment legislation and the employment contract. Agreed B2B terms, subject to applicable civil and commercial law.
Calculation Statutory seniority tables expressed in weeks. The contract’s stated calendar days, business days, weeks or months.
Who ends the relationship Dismissal and resignation use different tables. The client and consultant may have different contractual rights and notice periods.
Role of seniority Central to the statutory calculation. Normally irrelevant unless the agreement makes service duration relevant.
Effect of an end client’s cancellation Separate from the employer’s obligations to its employee. Depends on the downstream agreement’s termination provisions.

Employee notice: check seniority, direction and contract start date

For Belgian employment contracts beginning on or after 1 January 2014, employer dismissal notice is calculated in weeks using statutory seniority tables. An employee’s resignation follows a separate table. Do not use the resignation period to calculate what an employer owes on dismissal.

These selected examples show why the distinction matters:

  • Employer dismissal: an employee with less than three months’ seniority has a one-week notice period; at two to less than three years, it is 12 weeks; at six to less than seven years, it is 21 weeks.
  • Employee resignation: an employee with seven to less than eight years’ seniority gives 12 weeks’ notice. From eight years onward, the period is 13 weeks.
  • Resignation cap: the maximum is 13 weeks, regardless of manual-worker or employee classification and regardless of the employment contract’s starting date.

These are examples, not a complete seniority table. For dismissal, establish the contract’s start date and the relevant seniority bracket before selecting the period. Do not apply the post-2014 examples to an earlier contract without a separate assessment.

The 1 June 2026 change applies only to qualifying new contracts

For new Belgian employment contracts whose performance begins on or after 1 June 2026, employer dismissal notice is capped at 52 weeks once seniority reaches 17 years. Contracts already in force before that date remain under the existing rules. Under those rules, for example, dismissal notice at 17 to less than 18 years’ seniority is 54 weeks.

This is not a general 52-week limit for every Belgian employee, and it creates no equivalent cap for freelance service agreements.

The notice length is not the whole employment calculation

A Belgian employment notice must be in writing and state its start date and duration. It normally begins on the Monday following the week in which it was notified. Certain legally recognised events can suspend a notice period, so the applicable suspension rules and facts must be checked before fixing its end date.

If an employer ends employment immediately rather than allowing notice to run, compensation generally corresponds to remuneration and contractual benefits for the statutory notice period. For a fixed monthly wage, the weekly wage conversion is monthly wage × 3 ÷ 13; that conversion alone does not capture every benefit included in the compensation calculation.

Freelance notice: read the agreement, not the employee table

A genuine freelance consultant does not automatically receive an employee-style statutory notice period. Nor does the employee resignation cap of 13 weeks automatically limit a consultant’s obligations. The starting point is the signed service agreement and the documents governing the particular assignment.

Collect the framework agreement, statement of work, purchase order and applicable general terms. Record the contracting parties, contract version, signature date, effective date, assignment reference and governing law. A Belgium-based assignment can still contain a different governing-law or dispute-resolution clause, subject to applicable mandatory rules.

The practical task is to establish which termination provisions govern this assignment and how the documents fit together. If they conflict, do not simply choose the shortest period or assume the assignment document overrides everything else.

Separate the termination mechanisms

A consultant’s termination clause should distinguish the following mechanisms because each can lead to a different date and payment outcome:

  • Termination for convenience: the right to end the agreement without alleging breach, subject to the agreed notice and payment provisions.
  • Termination for material breach: a right linked to contractual non-compliance, including any defined opportunity to remedy it.
  • Immediate termination for specified serious events: rights expressly addressing events such as non-payment, confidentiality breaches, unlawful conduct, insolvency or loss of required authorisation.
  • Expiry of a fixed assignment: an agreement may end on its stated date. An earlier exit requires a separate contractual right if either party needs that flexibility.

Do not treat a client’s ordinary cancellation as a consultant’s breach. The contractual trigger must match the event being relied on.

Make the notice clause calculable

Thirty calendar days and four weeks are not the same period. The clause should also specify whether time starts on receipt, the next business day or a defined weekly cycle. Without that starting rule, a stated duration can still leave the termination date disputed.

  • Identify who can terminate: the client, consultant or both, with any unequal notice periods stated expressly.
  • Define delivery and receipt: specify the agreed method, such as registered letter, email to named addresses or an electronic platform, including treatment of notices outside business hours.
  • Address interruptions: state how weekends, public holidays, illness or other suspensions affect the period rather than importing employment-law assumptions.
  • Define the financial result: address work during notice, minimum commitments, active purchase orders, approved expenses, accrued invoices and any termination payment.

A contractual termination payment is not Belgian statutory dismissal compensation. Its basis and enforceability depend on the agreement, the parties’ status, the circumstances and applicable law. If the contract is silent or unclear, do not interpret that as an automatic right to leave immediately without payment consequences.

Map notice through the institution, prime and consultant

In a consultancy chain, the institution is the end client, the prime contractor is its contractual supplier, and the consultant contracts with the prime or another intermediary. Each relationship has its own obligations.

The institution’s notice to the prime does not automatically become notice to the consultant. Equally, an institution that is not a party to the consultant agreement may not be able to exercise that agreement’s termination clause directly.

Before accepting an assignment, compare the upstream and downstream terms in a timing matrix:

Record for each contract Institution-prime agreement Prime-consultant agreement
Termination right Which party may end the upstream agreement, and on what grounds? Which party may end the consultant agreement, and on what grounds?
Notice calculation Duration, unit, receipt rule and earliest effective end date. Duration, unit, receipt rule and earliest effective end date.
Payment obligation Amounts payable to the prime through termination. Amounts payable to the consultant through termination.
Upstream cancellation The event and evidence establishing termination. Whether that event triggers termination directly or permits a separate notice.
Other exposure Minimum commitments and termination fees. Minimum commitments, termination fees and accrued invoices.

For example, assume the institution can terminate on 30 calendar days’ notice, while the prime must give its consultant 60 calendar days. If both periods start together and no other termination right applies, the prime faces a potential 30-day commercial gap. It must address the downstream obligation through continued payment where required, a negotiated exit or another applicable contractual right — not simply substitute the institution’s shorter period.

The mismatch can also run in the opposite direction: a consultant may be entitled to leave before the prime’s delivery obligation to the institution ends. Review both parties’ exit rights, not just the notice the prime must give.

Use back-to-back drafting without leaving the consequences vague

Back-to-back drafting can reduce the mismatch by connecting downstream termination rights to the upstream contract. But “this assignment ends when the institution cancels” leaves too much unanswered unless the clause defines the mechanism.

The clause should state whether upstream termination automatically ends the consultant agreement or merely allows the prime to serve notice. It should also define the effective date, required notice, evidence of the upstream event, payment consequences and treatment of accrued invoices. Only add that mechanism after checking what the institution contract actually permits.

For consultants, the key distinction is between a promised notice period, a minimum number of billable days and payment only for services actually performed until termination. Those protections are not interchangeable. For primes, the shortest upstream cancellation period and the longest downstream notice obligation expose the principal timing mismatch.

Resolve the failure points before acting

  • The paperwork says freelance, but the working arrangement resembles employment. Resolve the classification issue with Belgian employment counsel before choosing a notice regime.
  • The framework and assignment documents specify different periods. Establish which provisions govern and how they interact; do not calculate from an isolated clause.
  • The notice has a duration but no clear receipt rule. Resolve the starting point before asserting an end date. Do not copy the employee Monday-start rule into a B2B arrangement.
  • The institution cancels, but the consultant agreement has no clear upstream trigger. Assess the prime’s own termination rights. Cancellation does not automatically erase consultant invoices, approved expenses, minimum commitments or existing damages.
  • A party claims immediate termination or a termination fee. Check the specified grounds, any cure period and the payment provision with Belgian commercial counsel before relying on it.

What a sound notice decision looks like

A sound decision identifies the correct legal relationship, the applicable statutory rule or contract clause, the party entitled to terminate, the notice start and end dates, and the resulting payment obligations. In a consultancy chain, it also shows who carries any gap between upstream revenue and downstream commitments.

This guide provides general information, not Belgian legal advice. Before acting on a disputed classification, unclear termination clause or upstream cancellation, have Belgian employment or commercial counsel review the relevant documents and facts.
